Terms and Conditions

Terms governing evaluation, registration, private development and resource support

1. Agreement and operator

These Terms and Conditions govern access to and use of ideaforge websites, evaluations, registration records, private Workspaces, AI-assisted development tools, resource preparation and connection features, and related services (the Services). The Services are provided by ideaforge (we, us or our). Contact: info@ideaforge.ltd.

You accept these Terms when you select an acceptance control that links to them, create an account through a flow requiring acceptance, or otherwise expressly agree to them. If you do not agree, do not submit an idea or use features requiring acceptance. Joining the waitlist does not by itself register an idea, start an evaluation, purchase access or accept a separate commercial fee agreement.

If you act for an organization, you represent that you are authorized to bind it. References to you include that organization where applicable. Your Privacy Policy rights do not depend on accepting optional marketing or optional commercial arrangements.

A signed order or institutional agreement controls only to the extent it expressly overrides these Terms for its subject matter. Any separately accepted commercial fee schedule controls only the identified fee arrangement. Our Privacy Policy explains personal-information processing; these Terms do not reduce rights provided by applicable privacy or consumer law.

2. Eligibility and accounts

Independent accounts. To open and manage an account independently, you must be at least 18 years old and legally able to enter this agreement under the law that applies to you.

Participation by minors. A person under 18, or otherwise unable to enter this agreement independently, may participate only through an account established and managed by their parent or legal guardian using an enrollment process expressly supported by ideaforge. The parent or guardian must meet the independent-account requirements, accept these Terms in their own capacity, authorize the minor’s participation and supervise use. The adult is responsible for account administration, authorized charges and decisions to share information or engage resources, subject to applicable law. A minor may not independently authorize a purchase, commercial agreement or external engagement. School sponsorship alone does not replace required parent or guardian authorization.

Younger participants. Participation by children under 13 is available only through a specifically enabled process that provides required parental notices, obtains verifiable parental consent where required, and supplies applicable parental controls and privacy protections before collecting the child’s personal information. Until that process is enabled, children under 13 may not use the Services directly. An adult’s acceptance of these Terms alone does not enable that participation.

Ownership and transition. Managing or paying for a minor’s account does not itself give the adult or ideaforge ownership of the minor’s idea or intellectual property. Ownership remains with the applicable rights holder. When the participant meets the independent-account requirements, they may request independent control, subject to identity and authority verification, acceptance of the then-applicable Terms and resolution of any lawful access restrictions. No transfer of intellectual-property rights is implied by that account transition.

The Services are initially offered in English for users in the United States. Access from another location does not constitute an offer of services prohibited there. You must comply with applicable sanctions, export controls and other laws.

Provide accurate account information, keep it current, protect your credentials and notify us promptly at info@ideaforge.ltd if you suspect unauthorized access. Do not share individual credentials, impersonate another person, bypass account restrictions or create accounts to evade limits. You are responsible for activity you authorize and for taking reasonable steps to secure your account.

Institutional sponsorship or payment does not automatically transfer ownership of your idea or grant the institution access to its contents. Any institutional administration, collaboration or reporting permissions must be disclosed and established through the applicable agreement and access settings. You remain responsible for your employment, university, funding and other obligations to third parties.

3. Scope of the Services

ideaforge helps identify relevant existing work, potential differentiation, commercial opportunity and useful next steps. It supports technical and nontechnical ideas. Evaluation may consider existing products, services, patents, publications and other sources; guided development helps organize the concept, evidence, decisions and resource needs.

An evaluation concerns the identified revision and available information at the time of processing. Results may be partial, delayed, unsuccessful or later outdated. Search coverage is not exhaustive. A source not found is not proof that it does not exist. A score is an analytical output, not a valuation, probability of success or professional determination.

An unfavorable score alone does not prevent registration. A valid completed record, required confirmations, applicable access entitlement and other disclosed non-score conditions may still be required. A recommendation does not authorize disclosure, spending, professional engagement or commercial activity.

A stage described as Foundation Complete records the disposition of applicable foundational work and the next development stage. Deferred work remains deferred. It does not establish commercial readiness, completed external work, regulatory approval, funding readiness or permission to launch.

We may improve or change the Services. Material paid-function reductions during an active term will be handled under sections 10 and 16. Planned features are not included unless expressly offered in your current entitlement. Beta, illustrative and simulated features will be identified; a simulation does not establish that research, testing, a provider engagement or any other outside activity occurred.

4. Your submissions and responsibilities

Your Content means information you submit or authorize us to receive, including idea descriptions, answers, files, contributor details, communications, evidence, revisions and professional work. You retain your rights in Your Content. Submission, evaluation, payment and registration do not transfer ownership to ideaforge.

You represent that you have the rights and permissions needed to submit and process Your Content and to authorize any requested sharing. Do not submit another person’s confidential material, personal information, copyrighted work or proprietary information without an appropriate right or permission. Remove unnecessary personal details from interviews, research notes and supporting files.

Your confirmations must accurately reflect what you know. Distinguish facts, estimates, hypotheses, AI-generated content, simulations and completed external work. Do not fabricate sources, evidence, test results, credentials, contributor consent or professional conclusions. Identify material uncertainty rather than presenting it as established fact.

You are responsible for deciding what to disclose and for obtaining appropriate professional assistance regarding ownership, inventorship, public disclosures, filing dates, contracts, safety and regulatory obligations. The Services do not calculate or guarantee legal deadlines. Do not upload classified information, payment-card security codes, account passwords, medical records, biometric identifiers or other highly sensitive information unless a separate written agreement expressly permits and safeguards that processing.

5. Limited content license and platform rights

You grant ideaforge a nonexclusive, worldwide, royalty-free license to host, copy, transmit and process Your Content solely as reasonably necessary to provide the Services you request, maintain your authorized records, secure and support the Services, and comply with law. We may allow contracted service providers to perform these functions under appropriate restrictions. This license does not authorize public disclosure, sale of Your Content, independent commercialization of your idea or training of shared AI models on Your Content.

The license lasts while we provide the Services and afterward only as needed for lawful retention, backup expiration, dispute resolution and other purposes explained in the Privacy Policy. It ends for content that is deleted from our systems and no longer lawfully retained. It does not restrict your own use of your idea.

As between you and ideaforge, you may use, edit, export and commercialize outputs generated specifically for your idea. To the extent we own transferable rights in those outputs, we assign those rights to you, excluding our underlying software, methods, templates and third-party material. AI outputs may be similar to other outputs and may not qualify for exclusive intellectual-property protection. Third-party rights and source-license restrictions continue to apply.

We retain rights in the platform, brand, software, models or configurations we own, and general tools and templates. Subject to these Terms and your entitlement, we grant you a limited, nonexclusive, nontransferable right to use them through the Services. You may use embedded templates as part of your authorized outputs, but may not resell the platform itself.

Voluntary product feedback may be used to improve the Services without compensation. This permission does not permit us to publish private idea details included in feedback or use them to train shared AI models.

6. Privacy, confidentiality and authorized sharing

Your Workspace is access-controlled and is not public merely because an idea is evaluated or registered. We will protect nonpublic Your Content using reasonable safeguards and limit access to people and service providers who need it for authorized service delivery, support, security, legal compliance or your permitted sharing.

Private does not mean that no processing provider or authorized support person can access information. AI and research functions may send necessary content or derived search terms to contracted providers. These processing activities, their purposes and retention are described in the Privacy Policy. We will not intentionally disclose your private idea content to unrelated creators or use it as their research evidence.

External sharing with an institution, collaborator or resource provider requires an applicable authorization identifying the recipient and material. Preparing a package, purchasing access, receiving a score or identifying a resource does not by itself authorize contact, release or engagement. We do not use private idea content in marketing without separate permission.

Where supported, you can revoke future access to a shared link or package. Revocation cannot recall copies a recipient already downloaded, information independently retained under law, or a release you made outside the Services. An NDA or other agreement with a recipient must be separately established; a platform share does not create one.

We may disclose information when legally required or reasonably necessary to address fraud, security threats or legal claims, subject to applicable law. We will limit disclosure to what is reasonably needed and provide notice where legally permitted and appropriate. Confidentiality obligations do not cover information lawfully public, independently developed without use of Your Content, or lawfully received without a duty of confidence.

7. AI assistance, research and human review

AI-generated text, comparisons, figures and recommendations may contain errors, omissions or unsupported statements. You must review outputs before accepting them into your record, sharing them, spending money or relying on them. Generated visuals are concept illustrations unless independently supported as actual designs or results.

We distinguish creator confirmations, AI proposals, sources and professional findings. Confirming an AI draft does not independently verify it. A completed task, synthetic interview or simulated test does not become proof of demand, feasibility or safety. Professional findings retain their author, scope and limitations.

Results can change as sources, models, methods and accepted information change. Earlier records remain historical and may not describe the current idea. Report suspected errors through info@ideaforge.ltd. We may correct service errors and identify superseded outputs without representing an old evaluation as current.

The Services do not provide legal, patent, investment, tax, medical or other licensed professional advice. They do not guarantee originality, ownership, noninfringement, patentability, freedom to operate, regulatory compliance, buyer interest or commercial success. Obtain qualified advice and actual validation appropriate to your intended use.

8. Registration, IdeaID and historical records

Registration associates a persistent IdeaID with the confirmed idea and a specified snapshot. Certificates, timestamps and integrity information document what the platform recorded and when, within the scope described on the record. They are not government registrations, patents, ownership rulings or guarantees of inventorship, priority or enforceability.

You must review the snapshot and registration declaration before accepting them. Do not register on behalf of contributors or rights holders without authority. Registered history preserves attribution and earlier versions; it does not adjudicate conflicting rights claims.

Historical records are ordinarily preserved against silent overwriting. Corrections may be represented by a new revision, annotation or superseding record. Record integrity does not create unlimited retention or override lawful deletion rights. Personal information, underlying content and limited integrity records are handled under the Privacy Policy.

A score or certificate does not make your idea public, automatically publish a marketplace listing, or authorize fundraising or commercial exposure. Those actions require their own available features, readiness checks, agreements and authorizations.

9. Resources, handoff packages and independent providers

ideaforge identifies potential resource needs and prepares packages containing relevant context, evidence, questions, scope and expected deliverables. Packages may be incomplete until you supply missing information. A completed brief prepares work; it does not mean that the work has been performed or its conclusions validated.

IP counsel. We prepare materials for your own independently selected IP counsel. We do not facilitate counsel introductions or connections, select or retain counsel for you, provide legal representation, or create an attorney-client relationship. The platform is not a privileged legal communication channel merely because a document is intended for counsel.

Other resources. For available features, we may help facilitate connections with engineering, prototyping, testing, commercial and other non-counsel resources. A suggested provider is not a guarantee of suitability, availability, licensing, quality, results or acceptance. You must assess the provider and agree to its scope, confidentiality, deliverables, fees and terms.

Your authorization to share information is separate from accepting a quote, engaging a provider or approving a payment. We will not commit you to an engagement solely because you request a recommendation or package. External provider charges are separate from ideaforge access fees unless expressly included in an accepted offer.

Independent providers are responsible for their own services. Unless expressly stated in a separate agreement, ideaforge is not a party to your provider contract and cannot bind either party. Any material compensation or affiliation affecting a recommendation will be disclosed before you act on it.

Returned work may be added to the idea record with appropriate permissions and attribution. Receipt does not automatically resolve an issue, verify findings or raise a score. You remain responsible for reviewing the deliverable and deciding whether to accept it. Beta simulations or deferred connections must not be treated as completed engagements.

10. Free evaluations, beta and paid access

A free evaluation has no evaluation charge. Any limits, eligibility conditions and optional paid features will be presented before you choose them. Waitlist interest, beta application and admission are separate. Neither joining the waitlist nor answering a pricing-research question purchases access or authorizes a charge.

Free beta access follows the stated admission and entitlement conditions. It does not automatically convert to a paid subscription. Simulated or unavailable features are identified. Optional research about willingness to pay does not affect evaluation, registration or free beta eligibility.

Paid access is per idea unless an accepted offer states otherwise. Before purchase, we will disclose the price, currency, taxes, duration, included features, usage allowances, refund terms and any renewal arrangement. No particular term length, price or usage allowance is established by these Terms alone.

Automatic renewal applies only if you expressly accept clearly disclosed renewal terms. If enabled, you may cancel future renewals through the disclosed account control or by contacting info@ideaforge.ltd. We will honor applicable cancellation and withdrawal rights. Cancellation ordinarily stops future renewal, not the already purchased period.

For fixed paid terms, we will send an expiry reminder 14 days before expiry, or at purchase if the entire term is shorter. Unless a different entitlement expressly applies, expiry suspends viewing and downloading existing idea material and history as well as new development, uploads, research, evaluation and generation. Expiry itself does not delete the idea. Renewal restores retained records under the same IdeaID without re-registration.

Retention, deletion and statutory privacy requests are governed separately by the Privacy Policy. Privacy rights are not conditioned on payment. We will disclose usage limits and obtain authorization before extra charges; reaching a limit does not authorize undisclosed overage billing.

Refunds follow the terms shown before purchase and mandatory law. If we permanently discontinue a material paid service during an active prepaid term without your breach and cannot provide a reasonable equivalent, we will refund the unused portion attributable to that service. Provider fees are governed by the provider’s own agreement.

11. Commercial outcome fees

An evaluation, registration or use of a Workspace does not by itself impose a royalty, success fee, equity interest, fundraising commission or claim over later versions of your idea. Any commercial outcome fee requires a separate agreement expressly accepted before the fee-bearing service or arrangement begins.

That agreement must identify the covered idea and versions, services, qualifying outcomes, attribution requirements, fee rates and calculation base, exclusions, term and any post-termination period, reporting and payment procedures, and dispute process. Any anti-circumvention obligation must be stated there and is limited to the agreed scope. No retroactive fee change applies without express agreement.

ideaforge does not act as a securities broker, investment adviser, placement agent or intermediary for fundraising under these Terms. No securities transaction-based compensation is authorized by this document. Any future regulated service requires a separate legally authorized arrangement; a disclaimer does not substitute for required registration or licensing.

12. Acceptable use

Use the Services lawfully and within the scope of your entitlement. Do not infringe rights, upload malicious code, harass or impersonate others, facilitate unlawful conduct, submit fabricated evidence, evade security or usage restrictions, or access another person’s private records without authorization.

Do not scrape private content, extract credentials or system instructions, interfere with infrastructure, or reverse engineer the Services except where applicable law expressly permits it. Do not use the Services or outputs to build a competing service by systematically extracting protected platform content.

Do not rely on outputs to control safety-critical equipment or make consequential decisions about another person’s eligibility for employment, housing, credit, insurance, education or essential services. Do not use a recommendation or score as a substitute for professional inspection or required testing.

Report suspected infringement or abuse to info@ideaforge.ltd with enough information to identify the material, explain your rights or concern and contact you. We may restrict disputed material while assessing a claim, but do not resolve ownership disputes merely by issuing or removing a record.

13. Third-party material and services

Research sources, linked websites, model services and independent provider materials may be governed by third-party rights and terms. A citation or comparison does not grant a license to copy, practice an invention or use a third party’s marks. Check relevant permissions before using third-party material.

Links and references do not constitute endorsements. We are responsible for our own obligations under these Terms, but do not control independent websites or provider performance. Features that depend on external services may be limited by availability, rate limits or source restrictions.

14. Service availability and disclaimers

We use reasonable care in providing the Services but do not promise uninterrupted operation, complete research coverage or error-free outputs. Beta functionality may change or become unavailable. Maintain your own copies of material needed outside the Services and use available export functions during your access period.

To the extent permitted by law, the Services and outputs are provided as is and as available, without implied warranties of merchantability, fitness for a particular purpose, title or noninfringement. This exclusion does not override an express obligation in these Terms or a warranty, remedy or duty that applicable law does not permit us to exclude.

15. Liability and third-party claims

To the extent permitted by law, neither party is liable under these Terms for indirect, incidental, special or consequential loss, including lost profits or business opportunities, arising from use of the Services. This does not remove liability for harm that applicable law requires to be recoverable.

Subject to the exclusions below, ideaforge’s total liability for claims arising from the Services during any twelve-month period is limited to the greater of the fees you paid to ideaforge for the affected Services in the preceding twelve months or US $100. External provider charges are not fees paid to ideaforge unless we are the contracting provider.

These limitations do not apply to fraud, willful misconduct, gross negligence, liability for death or personal injury caused by negligence, or any liability that cannot lawfully be limited. They do not waive statutory privacy rights or any remedy that applicable data-protection or consumer law makes nonwaivable. Nothing excuses our express confidentiality and data-protection obligations.

If you use the Services for business purposes, you will defend and indemnify ideaforge against a third-party claim to the extent it results from Your Content infringing that party’s rights, your unlawful use, or your material breach of these Terms. This obligation does not cover claims caused by our breach, negligence or misconduct. We will give prompt notice, reasonably cooperate and allow you to control the defense with qualified representation; no settlement may impose admissions, nonmonetary obligations or unreimbursed costs on us without consent. This paragraph does not apply to an individual using the Services solely as a consumer.

16. Suspension, termination and discontinuation

You may stop using the Services, cancel renewal or request account deletion at any time. Cancelling access and deleting content are distinct requests. Amounts lawfully incurred before termination remain payable, subject to refunds and other mandatory rights.

We may suspend access when reasonably necessary to address a material breach, unlawful activity, nonpayment, a security risk or a binding legal requirement. Where feasible and lawful, we will explain the reason and give an opportunity to resolve the issue. Immediate action may be needed to prevent harm. Contact info@ideaforge.ltd to request review of a restriction.

If we discontinue your account for reasons other than your breach or an urgent legal or security requirement, we will give reasonable advance notice and an opportunity to export content, and apply the refund rule in section 10 to unused prepaid service. Suspension is not itself a transfer of ownership or authorization to publish Your Content.

After termination, access ends and content is handled under the retention and deletion provisions of the Privacy Policy. Provisions that by their nature must survive do so, including accrued payments, ownership, limited lawful retention, confidentiality, limitations of liability and dispute provisions. Survival does not create a success fee absent a separately accepted agreement.

17. Changes, notices and electronic records

We may update these Terms for changes in the Services or law. We will identify the effective date and provide advance notice of material changes through the account or an appropriate communication channel. Changes requiring affirmative acceptance, including new payment obligations, will not be imposed through silence alone. Changes do not retroactively alter an already accrued claim.

We may provide service notices electronically to your account or registered email. Keep your email current. Marketing choices are separate from required operational notices. Electronic confirmations, declarations and acceptance records may document your instructions to the extent permitted by law; required consumer electronic-delivery consent will be obtained separately where applicable.

You may retain a copy of these Terms. Contact info@ideaforge.ltd for questions about notices, access, cancellation or an accessible copy.

18. Disputes and general provisions

Before filing a claim, either party may send the other a written description of the dispute and requested resolution and seek an informal resolution for 30 days. This process does not restrict urgent relief, reports to authorities, small-claims rights or filing necessary to preserve a legal deadline.

Disputes are subject to applicable law and may be brought before a court with jurisdiction. These Terms do not limit mandatory consumer protections or rights to bring proceedings in a forum available under applicable law. No mandatory arbitration or class-action waiver is created by these Terms.

Neither party is the other’s agent, partner or employee. We cannot bind you to an external engagement without a separate authorization. You may not assign this agreement without our consent, except as mandatory law allows. We may assign it in a merger, reorganization or sale of the relevant business if the successor assumes the obligations and your rights are not materially reduced.

If a provision is unenforceable, it will be limited to the extent necessary and the remainder continues. Failure to enforce a provision is not a waiver. These Terms and the expressly incorporated agreements form the agreement for the Services and do not override mandatory rights.
